These Terms of Service (“Terms”) govern your use of the website and services operated by Form & Grain (“Company,” “we,” “us,” or “our”), including but not limited to kitchen and bathroom remodeling, custom cabinetry, and design services. By accessing our website at formandgrain.com or any associated domains, or by engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.
1. Scope and Applicability
These Terms apply to all visitors, users, and clients who access our website or enter into a contract for remodeling, cabinetry, or design work in the United States. Our services are offered in compliance with applicable federal and state laws, including consumer protection and contractor licensing requirements in the State of Washington and other jurisdictions where we operate. Nothing in these Terms is intended to limit your statutory rights where the law does not permit such limitation.
2. Services and Estimates
Form & Grain provides kitchen remodeling, bathroom remodeling, custom cabinetry, and related design and construction services. All estimates and quotes are provided in writing and are valid for the period stated therein. Estimates are subject to change if scope, materials, or site conditions change. By accepting an estimate or signing a contract, you agree to the scope, payment terms, and schedule set forth in that agreement. We reserve the right to decline projects that fall outside our capabilities or that conflict with our business policies.
3. Payment Terms
Payment terms will be specified in your project contract. Typically, we require a deposit to commence work, progress payments at agreed milestones, and final payment upon completion and your approval. All amounts are due in United States dollars. Late payments may incur interest at the rate permitted by law and may result in suspension of work. You are responsible for any costs we incur in collecting overdue amounts. Disputed amounts must be raised in writing within a reasonable time; failure to do so may be deemed acceptance of the invoice.
4. Cancellation and Refunds
Cancellation policies are set out in your individual contract. In general, deposits may be non-refundable once materials have been ordered or work has commenced, to the extent permitted by law. If you cancel after work has begun, you may be liable for work performed and materials ordered or installed. We will comply with any applicable cooling-off or cancellation rights under state or federal law. Refunds, where applicable, will be processed within a reasonable time in accordance with our contract and legal obligations.
5. Intellectual Property and Materials
All content on our website, including text, images, logos, and design elements, is owned by Form & Grain or our licensors and is protected by copyright and other intellectual property laws. You may not copy, modify, or distribute our content without written permission. Design plans, drawings, and specifications we create remain our property unless otherwise agreed in writing; we typically grant you a license to use them for your project. Photographs of completed work may be used by us for marketing and portfolio purposes unless you have requested otherwise in writing.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Form & Grain shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of profits, data, or goodwill. Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the amount you paid us for the specific project or service giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the maximum extent permitted by law. We carry appropriate insurance as required by law; details may be provided upon request.
7. Indemnification
You agree to indemnify, defend, and hold harmless Form & Grain, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your use of our website or services, your violation of any law or third-party right, or any dispute between you and a third party in connection with your project, except to the extent caused by our negligence or willful misconduct.
8. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or our services shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within a reasonable time, either party may pursue resolution in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of such courts. Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction. If you are a consumer, you may have additional rights under your local consumer protection laws.
9. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page will reflect the most recent revision. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. For existing contracts, the Terms in effect at the time of contract execution apply to that project unless we agree otherwise in writing. We encourage you to review this page periodically.
